Terms of Service

These Terms of Service (“Terms”) govern the relationship between Elevate VIP Agency (“Agency,” “we,” “us,” or “our”) and the client (“Client,” “you,” or “your”) purchasing consulting and marketing services. By engaging our services or signing a Statement of Work (SOW), you agree to be bound by these Terms.

1. Services

Elevate VIP Agency provides professional marketing services, which may include but are not limited to: digital advertising, brand strategy, content creation, social media management, and web development. The specific scope of work will be outlined in your individual Service Agreement or Invoice.

2. Custom Work Disclosure

The Client acknowledges that all services provided by Elevate VIP Agency are custom-tailored to the Client’s specific business needs, branding, and industry requirements. Unlike physical goods, marketing services involve immediate resource allocation, research, and creative labor that cannot be “restocked” or reused for other clients.

3. Payment Terms

  • Payment Due: All fees are due immediately and according to the schedule outlined in your invoice.
  • Commencement of Work: Work begins immediately upon receipt of the initial payment or deposit.

4. Cancellation Policy (3-Day Window)

We offer a limited window for agreement termination:

  • Right to Cancel: The Client has three (3) calendar days from the moment of the initial payment or signing of the agreement (whichever comes first) to cancel the services subject to prorated fees for work completed and written agreement between the parties.
  • Notice of Cancellation: To cancel, the Client must provide written notice via email within this 72-hour window subject to the written agreement between the parties..
  • Effect of Cancellation: If cancelled within this window, any recurring billing or future payment obligations will be terminated. However, the No Refund Policy (Section 5) still applies to the initial deposit or payment made to cover the immediate allocation of agency resources.

5. No Refund Policy

All sales are final. Due to the highly customized nature of our marketing services and the immediate labor and resources dedicated to your project:

  • No Refunds: Elevate VIP Agency does not offer refunds under any circumstances, including but not limited to: early termination by the Client after the 3-day window, dissatisfaction with creative direction, or changes in the Client’s business model.
  • Value Exchange: The Client acknowledges that they are paying for the Agency’s time, expertise, and custom execution, which are non-recoverable assets.

6. Client Responsibilities

The success of marketing campaigns depends on Client cooperation. The Client agrees to:

  • Provide necessary access to accounts (Meta, Google, Website, etc.).
  • Deliver brand assets and approvals in a timely manner.
  • Understand that the Agency is not responsible for delays caused by the Client’s failure to provide required information.

7. Intellectual Property

  • Ownership: Upon full and final payment, the Client shall own the final creative assets produced specifically for them.
  • Agency Rights: The Agency retains the right to use any work created for the Client in its portfolio, case studies, and marketing materials unless a non-disclosure agreement (NDA) is specifically signed.
  • Third-Party Tools: Any software, proprietary methodologies, or third-party tools used by the Agency remain the property of their respective owners.

8. Limitation of Liability and Guarantees

  • No Guarantees of ROI: While we strive for excellence, marketing is subject to external market forces and platform algorithm changes. Elevate VIP Agency makes no guarantees regarding specific sales, leads, or revenue increases.
  • Liability Cap: To the maximum extent permitted by law, the Agency’s total liability for any claim arising out of this agreement shall not exceed the total amount paid by the Client to the Agency during the one (1) month preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Insert Your State/Country], without regard to its conflict of law provisions.

10. Modifications

Elevate VIP Agency reserves the right to modify these Terms at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of the updated Terms.
